ARTICLE I

NAME

The name of this organization shall be "Kentucky Association of Transportation Engineers."

ARTICLE II

OBJECTIVES

The objectives of this Association shall be to promote fellowship and cooperation among the members; to promote the social and economic welfare of its members; to advance the professional reputation of Transportation Engineers working in Kentucky State Government through interchange of technical knowledge in Transportation Engineering and by fostering true engineering ethics; to promote employment practices for Transportation Engineers in state government that are based solely on professional factors; and to promote the public interest as affected by the services of Transportation Engineers.

ARTICLE III

MEMBERSHIP

Section 1 Classification:

This Association shall consist of members of two classes: active members and retired members.

Section 2: Qualifications:

(a) An active member of this Association shall be an employee of Kentucky State Government working for the Kentucky Transportation Cabinet and shall be approved for membership by the Board of Directors of this Association. Active members shall be a holder of a current valid certificate of registration as a Professional Engineer or Engineer-In-Training from the Kentucky State Board of Registration for Professional Engineers and Land Surveyors.  Engineers-In-Training who do not obtain registration as a Professional Engineer within the prescribed time period may be removed from active membership by a majority vote of the Board.

(b) A retired member of this association shall be a former employee of Kentucky State Government who, at the time of retirement, was working for the Kentucky Transportation Cabinet, Kentucky Department of Highways, or other former titles of said agency and had been in service to the Kentucky Transportation Cabinet for at least five years.  Retired members shall currently hold a valid certificate of registration as a Professional Engineer, Professional Engineer – Retired, or Professional Engineer - Inactive from the Kentucky State Board of Registration for Professional Engineers and Land Surveyors.  Retired members are non-voting members of the Association.

Section 3:

Membership in this Association shall automatically end upon a member's voluntary termination of employment with the Kentucky Transportation Cabinet unless the member qualifies under Section 2(b) of this Article.

ARTICLE IV

ADMISSION, SUSPENSION, AND REINSTATEMENT OF MEMBERS

Section 1: Admission:

Any individual desiring to become a member of this Association except charter members, shall make written application setting forth his educational and professional records, which application shall be signed by two members in good standing. The application, accompanied by an entrance fee as required by the bylaws, shall be presented to the Secretary. The Board shall examine and verify the applicant's qualifications. The application shall be read at the first regular meeting of the Board of Directors after presentation and, if the applicant's qualifications are found to be satisfactory, his application shall be voted upon. A three-fourths (3/4) majority of those Directors and the Officers present shall elect. If the applicant is elected, he shall be issued a membership by the Secretary; if, however, this application is rejected, any entrance fee shall be returned.

Section 2: Suspension:

(a) A member may be suspended whose dues and assessments are in arrears for three (3) months and may be dropped from membership at the time that the member's dues and assessments are in arrears for six (6) months.

(b) Any member whose personal conduct or fitness is such as to make further affiliation with the Association undesirable shall be expelled by a majority vote of the Directors present at the Board of Directors' meeting, providing said person has been previously notified that such action will be taken against him and provided he has been given an opportunity to present his own defense.

(c) A demit for one (1) year or more may be granted by the Board to any member in good standing upon written application to the Secretary.

(d) A member may be dropped from membership if he does not become registered within two (2) years after becoming eligible for professional engineering registration.

Section 3: Reinstatement of members in the Association may be had under any one of the following conditions:

(a) Persons who have terminated their membership either by resignation or by termination of employment with the Kentucky Transportation Cabinet may be reinstated upon formal application and resumption of the payment of dues and assessments, if in good standing at termination date and upon re-employment with the Kentucky Transportation Cabinet.

(b) Any member dropped for the non-payment of dues or assessments may be reinstated upon the recommendation of the Board of Directors and upon payment of any reinstatement fee.

(c) Persons who have been expelled from membership may be reinstated upon formal application and upon three-fourths (3/4) majority vote of those Directors and Officers present at the first regular meeting after the application has been received.


 

ARTICLE V

DUTIES AND RIGHTS OF MEMBERS

Section 1: Duties: It shall be the duty of each member to:

(a) Conduct his professional dealings in an ethical manner, uphold the principles of this association, and abide by its rules and regulations.

(b) Serve on committees or perform other duties when appointed in an authorized manner, unless such member presents an excuse which is recognized and accepted by the appointing officer at the time of appointment.

(c) Pay promptly all dues and assessments.

Section 2: Rights:

Only those members having five (5) years or more tenure with the Association and holding a valid certificate as a registered professional engineer shall have the right to hold office and to serve as a Director unless approval is granted by a three-fourths (3/4) majority vote of the Board and Officers prior to election of said member.

ARTICLE VI

ORGANIZATION

Section 1:

The procedures of this organization shall follow Roberts Rules of Order.

Section 2: Board of Directors:

(a) The management of the Association shall be vested in a Board of Directors, and by the Officers of the Corporation; namely, a President, a Vice-President, a Treasurer, and a Secretary, all of whom shall be Active Members of the Association.

(b) The Board of Directors listed in the Articles of Incorporation shall serve until the first annual meeting, at which time a Board of Directors will be elected for staggered terms, as will be set out in the bylaws.  The above mentioned officers of the Association will be elected at the first annual meeting as set out in the bylaws.

(c) The Board of Directors shall:

  1. Prescribe the duties of the officers of the Board.
  2. At the first meeting of the Board following the annual meeting elect a President, Vice-President, Secretary, and Treasurer from the membership of the Board. The term of office for each officer shall be for a period of one (1) year or until his successor is duly elected and has taken over the duties of the office.
  3. Designate the place and hour of meeting.
  4. Authorize all expenditures of the Board of Directors.
  5. Audit the books and accounts of the Treasurer at the end of each calendar year.
  6. Fill any vacancies that may occur among its officers, of the officers of the Association until the next regular election.
  7. Be empowered to publish an official paper or magazine.
  8. Submit to the members of the Association, not later than May 1st of each year, a clear and accurate statement of the financial condition, and a complete report of the activities of the Association.
  9. Limit total expenditures to the unobligated amount in the several accounts on the date appropriations or authorizations for such expenditures are made.
  10. Adopt such rules and regulations as are deemed necessary for the proper conduct of the affairs of the Association. By request of two (2) members of the Board of Directors, any rule or regulation so adopted shall be referred to the members for ratification and such rule or regulation shall become effective when ratified by a majority of the members.

(d) The officers of the Association shall function as the executives of the Association and shall carry out their respective duties as set out in the bylaws, and also shall assume any responsibilities delegated to the office by the Board of Directors.

ARTICLE VII

DUES, ASSESSMENTS, AND FINANCES

Section 1: Dues:

The annual dues to the Association for members shall be determined by the Board of Directors. The due date each year shall be set out in the bylaws.

Section 2: Assessments:

The Board of Directors shall have the power to authorize special assessment for official business only when approved by a majority of the Association member ballots or votes. Such assessments shall be paid in the manner and for the length of time approved by the majority of the members of the Association, and shall be disbursed only for the purposes levied except that the Board of Directors may by a three-fourths (3/4) majority vote transfer any unused monies to the Association's regular account.

Section 3: Funds:

The funds of the Association shall be held in an operating account and such special accounts as may be from time to time authorized by the Board of Directors. All monies received by the Board shall be credited to one of the several accounts.

Section 4: Loans:

No monies shall be loaned from the funds of the Association.

ARTICLE VIII

ANNUAL CONVENTION

Section 1: Time and Place:

A convention of the Association shall be held each year. The time and place of the Convention shall be determined by the Directors at a meeting of the Board.

Section 2: Management:

The management of the Annual Convention shall be left entirely in the hands of the Board of Directors. The officers of the Board shall be the ex-officio members of the Convention Committee.

Section 3:

Privileges: Any member of this Association in good standing in attendance at the convention shall be entitled to vote on any motion before the Convention.

ARTICLE IX

AMENDMENTS

Section 1:

Amendments to this Constitution may be submitted by the board on its own motion or on a petition signed by a majority of the members of the Association. No amendment shall become effective except by a two-thirds (2/3) majority vote of all members of the Association.

Section 2:

Amendments to the By-Laws of the Association may be accomplished by a two-thirds (2/3) majority vote of all of the Board of Directors.

ARTICLE X

EFFECTIVE DATE

Section 1:

This Constitution shall become effective upon filing the Articles of Incorporation papers establishing this organization, which articles are made a part hereof.
